These Terms and Conditions (“Terms”) govern access to and use of the website https://maestra.studio (the “Website”) and all related content, products, and services provided by Maestra Studio LLC, a Delaware limited liability company operating in California (“Maestra,” “we,” “us,” or “our”). By accessing or using the Website or purchasing a membership, you agree to be bound by these Terms. If you do not agree, do not use the Website or Services.

1. Eligibility and Account Registration

To use our Services, you must be at least 18 years old and have the legal capacity to enter into these Terms. You may be required to create an account to access paid or restricted areas of the Website. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Account sharing is strictly prohibited.

2. Memberships and Subscriptions

Maestra currently offers one paid membership tier (“Insider”), which provides access to exclusive digital content and other member-only features as described on the Website.

  • Billing: Membership fees are billed monthly and automatically renew at the end of each billing period unless cancelled before renewal.

  • No Refunds: All payments are final. We do not offer refunds or credits for partial billing periods or unused services.

  • Cancellations: You may cancel your membership at any time through your account settings. Cancellations take effect at the end of the current billing cycle.

  • Payment Processing: Payments are processed through Squarespace Commerce and its integrated payment processor, Stripe. Maestra does not store credit card or other payment information.

  • Non-Transferability: Memberships are personal to you and may not be assigned or transferred.

3. Service Availability and Modifications

Membership grants access to digital content curated and maintained by Maestra. We do not guarantee any minimum quantity, frequency, or schedule of new content. We reserve the right to modify, suspend, or discontinue any aspect of the Website, membership features, or digital content at any time, with or without notice. Temporary interruptions or changes in available content do not entitle members to refunds or compensation. From time to time, the Website or certain Services may be temporarily unavailable due to maintenance, updates, or causes beyond our reasonable control. Maestra does not guarantee uninterrupted access and shall not be liable for any losses resulting from downtime.

4. User Conduct and Community Features

You agree to use the Website and its community features, if enabled, in a respectful and lawful manner.
You may not:

  • Post or transmit any unlawful, infringing, defamatory, or obscene content;

  • Use the Website to harass, threaten, or harm others;

  • Attempt to gain unauthorized access to the Website, accounts, or systems;

  • Use automated systems to collect data or interfere with the Website’s operation.

Maestra reserves the right to remove content or suspend accounts that violate these standards or applicable law.

5. Payments and Billing

By submitting payment information, you authorize Maestra (through Squarespace/Stripe) to charge your chosen payment method for all applicable fees. If a payment fails or is declined, we may suspend or terminate your access until payment is successfully processed. You are responsible for any taxes, fees, or charges imposed by governmental authorities on your purchase, other than Maestra’s income taxes.

6. Intellectual Property

All materials, including text, articles, images, layouts, graphics, trademarks, and other content available on the Website (“Content”), are owned by Maestra or sublicensed to Maestra from FashionNow. All rights are reserved. You are granted a limited, revocable, non-exclusive license to access and use the Website and Content for personal, non-commercial purposes only. You may not copy, reproduce, distribute, modify, adapt, translate, publish, broadcast, or create derivative works from any Content without prior written consent from Maestra. Unauthorized use of Content may violate copyright, trademark, and other laws and may result in legal action.

Copyright Infringement / DMCA Notice: Maestra respects the intellectual property rights of others. If you believe any content on the Website infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) by contacting us at hello@maestra.studio with the information required under 17 U.S.C. §512(c)(3). Maestra reserves the right to remove content that infringes or is alleged to infringe intellectual property rights, and to terminate accounts of repeat infringers.

7. Disclaimers

The Website and its Content are provided “as is” and “as available.” Maestra disclaims all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the Website or Content will be uninterrupted, error-free, secure, or free from viruses.

The Content provided through the Website is for informational and aesthetic purposes only and does not constitute professional advice. You use the Website and Services at your own risk.

8. Limitation of Liability

To the fullest extent permitted by law, Maestra and its affiliates, licensors, and service providers shall not be liable for any indirect, consequential, incidental, punitive, or special damages arising out of or in connection with your use of the Website, Content, or Services, even if advised of the possibility of such damages. In no event shall our total liability exceed the amount you paid to Maestra in the twelve (12) months preceding the claim. Some jurisdictions do not allow limitations on implied warranties or certain damages, so these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Maestra and its officers, directors, agents, and employees from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Website or violation of these Terms.

9. Termination

Maestra may suspend or terminate your account or membership at any time for violation of these Terms, non-payment, or any conduct deemed harmful to the Website or its users. Upon termination, your right to access the Services and Content will immediately cease. You may cancel your membership at any time, but fees paid are non-refundable. Sections relating to intellectual property, disclaimers, limitation of liability, governing law, and other provisions that by their nature should survive termination will remain in effect.

10. Governing Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the Website, or the Services (collectively, “Disputes”) shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles, and by applicable United States federal law. Except as otherwise provided in Section 10B (Dispute Resolution; Binding Arbitration and Class Action Waiver), you and Maestra Studio LLC agree that any action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in New York County, New York, and each party irrevocably submits to the jurisdiction and venue of those courts for such purposes. You waive any objection based on inconvenient forum or lack of personal jurisdiction with respect to any such court action. Any claim or cause of action arising out of or related to these Terms or your use of the Website must be filed within one (1) year after such claim or cause of action arose, or it will be permanently barred.

10b. Dispute Resolution; Binding Arbitration and Class Action Waiver

(i) Agreement to Arbitrate. Except as expressly provided below, you and Maestra Studio LLC agree that any Dispute shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules, rather than in court.

(ii) Location and Governing Law. The arbitration shall take place in New York County, New York, unless otherwise required by applicable law. The arbitration shall be governed by the Federal Arbitration Act (9 U.S.C. §1 et seq.) and the substantive laws of the State of New York, without regard to its conflicts-of-law provisions.

(iii) Exceptions. Either party may bring an individual claim in small-claims court if the claim qualifies, or seek injunctive or other equitable relief in a court of competent jurisdiction for claims relating to intellectual-property rights or unauthorized use of Content.

(iv) Class Action Waiver. You and Maestra Studio agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or otherwise preside over any form of a representative or class proceeding.

(v) Arbitration Fees and Costs. Payment of filing, administration, and arbitrator fees shall be governed by the AAA Rules. Each party shall bear its own attorneys’ fees and costs, except as otherwise provided by applicable law.

(vi) Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to hello@maestra.studio within thirty (30) days after first accepting these Terms. Your opt-out will not affect any other provisions of these Terms.

(vii) Severability. If any portion of this arbitration provision is found unenforceable, that portion shall be severed, and the remainder shall remain in full force and effect.

11. Force Majeure

Maestra shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, strikes, labor disputes, internet outages, electricity outages, or governmental restrictions.

12. Assignment

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. Maestra may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, sale, or other corporate reorganization.

13. Changes to These Terms

We may update these Terms from time to time. The “Effective Date” at the top indicates the latest version. Changes take effect when posted on this page. Continued use of the Website or Services after such changes constitutes acceptance of the updated Terms.
